By accessing or using the GreekWard platform ("Service"), available at greekward.com, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes your acceptance of any updates or modifications to these Terms.
GreekWard is a chapter management platform designed to assist Greek-letter organizations with membership management, communications, invoicing, document management, roster tracking, and related administrative functions. The Service is provided on an "as is" and "as available" basis.
You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements. Accounts are created by authorized administrators; you may not create an account without proper authorization.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify GreekWard at support@greekward.com of any unauthorized use of your account or any other security breach. GreekWard shall not be liable for any loss or damage arising from your failure to protect your account information.
You agree not to use the Service to:
You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant GreekWard a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display such content solely for the purpose of operating and providing the Service. You represent and warrant that you have all necessary rights to submit such content and that your content does not infringe the rights of any third party.
Certain features of the Service may involve payment processing and invoicing. All payments are processed through third-party payment providers (such as Stripe). GreekWard does not store your full payment card details. You agree to pay all fees and charges incurred in connection with your use of the Service. All payments are non-refundable unless otherwise stated or required by applicable law. GreekWard is not responsible for any errors, delays, or issues caused by third-party payment processors.
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your information as described therein. We take reasonable measures to protect your personal information but cannot guarantee absolute security.
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of GreekWard and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent from GreekWard.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
GreekWard does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Service will be accurate or reliable, or that any defects in the Service will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREEKWARD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREEKWARD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE ACTUALLY PAID TO GREEKWARD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. YOU ACKNOWLEDGE THAT THIS LIMITATION REFLECTS A REASONABLE ALLOCATION OF RISK AND IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GREEKWARD.
You agree to defend, indemnify, and hold harmless GreekWard, its directors, employees, partners, agents, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any User Content you submit through the Service.
GreekWard may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
GreekWard reserves the right to modify or replace these Terms at any time at its sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and GreekWard regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
